3. User Eligibility

To use NigeriaCreators, you must:

  • Have the legal capacity to enter into binding contracts under Nigerian law
  • Reside in Nigeria or have authorization to conduct business in Nigeria
  • Provide accurate and complete information during registration
  • Not be prohibited from using our services under applicable laws

If you are using the Platform on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

Minors under 18 may only use the Platform with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

4. Account Registration and Security

5.3 Enforcement

6. Content Ownership and Intellectual Property

6.1 Your Content

You retain ownership of all content you create, upload, or share on NigeriaCreators ("User Content"). This includes text, images, videos, audio, designs, and any other creative works.

By posting User Content on our Platform, you grant us a non-exclusive, worldwide, royalty-free, transferable license to use, display, reproduce, distribute, modify, and promote your content for the purpose of operating and improving the Platform.

6.2 Content Responsibility

You are solely responsible for your User Content and represent that:

  • You own all rights to the content or have obtained necessary permissions
  • Your content does not infringe on third-party intellectual property rights

6.3 Our Intellectual Property

The NigeriaCreators Platform, including its design, features, graphics, logos, trademarks, software, and underlying technology, is owned by us and protected by Nigerian and international intellectual property laws.

You may not copy, modify, distribute, sell, or reverse-engineer any part of our Platform without our express written permission.

6.4 Copyright Infringement

7. Payments and Billing

7.1 Third-Party Payment Processing

All payments on NigeriaCreators are processed by third-party payment service providers, primarily Flutterwave, and may also include other reputable Nigerian payment gateways such as Paystack, Interswitch, or other authorized processors.

By making a payment on our Platform, you agree to the terms and conditions of the applicable payment processor.

7.2 Payment Security

We do not store, process, or have access to your payment card details. All payment information is collected, stored, and processed securely by our payment service providers in compliance with international payment security standards (PCI-DSS).

7.3 Accepted Payment Methods

We accept the following payment methods through our payment processors:

  • Nigerian debit and credit cards (Verve, Mastercard, Visa)
  • Bank transfers
  • Mobile money and USSD payments
  • Other payment methods supported by our processors

7.4 Pricing and Fees

  • All prices are displayed in Nigerian Naira (₦) unless otherwise stated
  • Prices include applicable taxes where required by Nigerian law

8. Refunds and Cancellations

  • Digital products and completed services are generally non-refundable once delivered or accessed
  • Subscription fees are non-refundable for the current billing period
  • We may offer refunds on a case-by-case basis at our sole discretion

8.2 Service Issues

If you experience technical issues that prevent you from accessing paid services, contact us within 14 days, and we will investigate and may offer a refund or credit.

8.3 Subscription Cancellation

You may cancel subscriptions at any time. Cancellations take effect at the end of the current billing period, and you will retain access until that date. No partial refunds are provided for early cancellation.

8.4 Creator-Specific Refunds

Individual creators may set their own refund policies for their specific products or services. Those policies will be displayed on the creator's page and apply in addition to this general policy.

9. User Conduct and Community Guidelines

We are committed to maintaining a safe, respectful, and productive environment for all creators and users. You agree to:

  • Treat other users with respect and professionalism
  • Engage in honest and ethical business practices
  • Respect the intellectual property and privacy of others
  • Provide accurate descriptions of your services and products
  • Honor commitments made to other users

Violations may result in content removal, account suspension, or permanent ban.

10. Termination of Accounts

10.1 Termination by You

You may terminate your account at any time by:

Account termination does not entitle you to refunds for unused portions of subscriptions or services.

10.2 Termination by Us

We reserve the right to suspend or terminate your account at any time if:

  • You violate these Terms or our policies
  • You engage in fraudulent or illegal activities
  • Your account remains inactive for an extended period

  • We determine, in our sole discretion, that termination is necessary

10.3 Effect of Termination

Upon termination:

  • Outstanding payment obligations remain due

11.2 Third-Party Content

We do not endorse, verify, or guarantee the accuracy of User Content or third-party services. You interact with other users and creators at your own risk.

11.3 No Professional Advice

11.4 Payment Processor Disclaimer

We are not responsible for the performance, security, or policies of third-party payment processors. Your use of payment services is governed by their respective terms and conditions.

12. Limitation of Liability

To the maximum extent permitted by Nigerian law:

12.1 No Liability for Indirect Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, revenue, or business opportunities, arising from:

  • Your use or inability to use the Platform
  • Unauthorized access to your account or content
  • Actions or content of other users
  • Technical failures or security breaches
  • Payment processing issues

12.2 Maximum Liability Cap

Our total liability to you for any claims arising from or related to the Platform shall not exceed the amount you paid us in the 12 months preceding the claim, or ₦50,000 (Fifty Thousand Naira), whichever is greater.

12.3 Essential Limitations

These limitations apply even if we have been advised of the possibility of damages and regardless of the legal theory (contract, tort, negligence, or otherwise).

13. Indemnification

You agree to indemnify, defend, and hold harmless NigeriaCreators, its owners, officers, employees, agents, and partners from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your User Content or activities on the Platform
  • Infringement of third-party intellectual property rights
  • Your interactions or transactions with other users
  • Your misuse of payment services

This indemnification obligation survives termination of your account and these Terms.

14. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which complies with the Nigeria Data Protection Regulation (NDPR) 2019.

15. Governing Law and Jurisdiction

16. Dispute Resolution

16.1 Informal Resolution

Before initiating formal proceedings, you agree to first contact us at legal@nigeriacreators.com.ng to attempt to resolve any dispute informally. We will make good faith efforts to resolve disputes amicably within 30 days.

16.2 Arbitration

If informal resolution fails, disputes shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act (Cap A18) Laws of the Federation of Nigeria 2004.

Arbitration shall:

  • Be conducted in Lagos, Nigeria (or another mutually agreed location)
  • Be conducted in English
  • Be before a single arbitrator mutually agreed upon by the parties
  • Follow rules that ensure a fair and efficient process

The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

16.3 Exceptions

Either party may seek injunctive relief or protection of intellectual property rights in Nigerian courts without first pursuing arbitration.

16.4 Class Action Waiver

You agree that disputes will be resolved individually and not as part of a class action or consolidated proceeding.

17. Miscellaneous Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NigeriaCreators and supersede all prior agreements or understandings.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court, the remaining provisions shall remain in full force and effect.
